Explanation of Responses:
(1) Represents separate gifts to fourtenn (14) individuals, i.e., six gifts
for 5,000 shares each and one (1) gift of 3,000 shares, two gifts of
1,000 shares each, and three gifts of 500 shares each. The reporting
person disclaims beneficial ownership of all securities held by these
three individuals, and this report should not be deemed an admission
that the reporting person is the beneficial owner of such securities
for purposes of Section 16 or for any other purpose.
